Terms of use

1. Agreement to these terms

These Terms of Use (the "Terms") are a binding agreement between you and Janover Capital LLC, together with its affiliates, members, managers, officers, employees and agents ("Janover Capital," "we," "us"), governing your use of cre.capital (CRE Capital) and the content, tools, forms and services on it (the "Site"). By using the Site you accept these Terms and our Privacy policy, which is part of them. If you don't agree, don't use the Site. If you use the Site for an entity, you represent that you can bind it, and "you" includes it.

2. Who we are, and what we are not

Janover Capital LLC is a commercial mortgage capital markets advisory firm. We act as an intermediary and broker that arranges commercial-purpose financing for commercial and multifamily real estate. We are not a bank, direct lender, deposit-taking institution, mortgage servicer or fiduciary. We don't make credit decisions, fund loans or guarantee that financing will be available, offered or closed on any terms. We do not arrange consumer mortgages or loans secured by 1-4 unit residential properties or owner-occupied homes; residential portfolios of five or more units are treated as commercial.

Not a broker-dealer. Janover Capital is not a registered broker-dealer or investment adviser. Through this Site it takes requests for senior and mezzanine debt only. It does not offer, sell, place or solicit preferred equity, JV or LP interests or any other security, does not recommend any investment, and takes no compensation for equity. If you mention an equity need, the most we will do is point you to people who work on that side; you deal with them directly.

Any engagement of Janover Capital for advisory or brokerage services happens only under a separate written agreement; using the Site or our review of what you send creates no such relationship. Janover Capital LLC separately holds insurance licenses in Florida (#L136031) and Texas (#3490226); insurance is not offered through this Site and is provided only through janoverinsurance.com.

3. No offer, no commitment, no advice

Everything on the Site is general information. Nothing on it is, or may be relied on as: (a) an offer to lend, or an offer, solicitation or commitment to arrange financing; (b) a loan approval, prequalification, rate quote or lock; (c) an offer to sell or a solicitation of an offer to buy any security; (d) legal, tax, accounting, investment, financial or other professional advice; or (e) a recommendation of any transaction, investment or strategy. All rates, spreads, returns, loan-to-value levels, program parameters and figures on the Site are indicative and illustrative, can change without notice, and are subject to market conditions, underwriting, third-party reports and lender approval. Consult your own legal, tax and financial advisors, and securities counsel for any equity raise, before you decide anything.

4. Eligibility and permitted use

The Site is for people at least 18 years old, in the United States, researching or seeking commercial-purpose financing. Use it only lawfully and under these Terms.

5. Market data, calculators and tools

The Site shows market data from third parties: the U.S. Department of the Treasury's daily par yield curve (the 10-year Treasury yield), average lender quotes from Altus Group's CRE Debt Capital Markets Survey (Q2 2026), and figures from company filings on SEC EDGAR, each with its date. The stack builder is a calculator: its outputs, including IRRs, multiples, coverage ratios and blended costs, are simplified, hypothetical arithmetic on the inputs you enter and generic assumptions. They are not projections of returns, underwriting, a sizing commitment or an indication of terms available to you. Market data may be delayed, incomplete or wrong and is provided "as is." We may change or remove any data or tool at any time.

6. Educational content

Guides and layer pages, including summaries of the UCC, the HVCRE rule, agency guides and SEC Regulation D, are general, may not reflect the latest developments, and may not apply to you. Nothing in them creates an advisory or client relationship.

7. Information you submit

When you send information through the Site, you represent that it is accurate and complete in all material respects, that you may provide it, and that providing it breaks no law or agreement. You allow us to use and share it as described in the Privacy policy, including with prospective lenders and transaction parties at your direction to evaluate and arrange financing. Until you and Janover Capital sign a written engagement with confidentiality terms, information sent through the Site is not subject to any duty of confidentiality beyond the Privacy policy.

8. Consent to be contacted

By sending your contact information through the Site, you consent to receive calls, text messages and emails from or for Janover Capital at the numbers and addresses you give, including calls and texts placed with automated technology or prerecorded messages, about your request and our services. Consent is not a condition of any service. Message and data rates may apply, and message frequency varies. Opt out at any time by replying STOP to a text, using the unsubscribe link in an email, or contacting us at (561) 559-4111 or hello@cre.capital. If you give a phone number that isn't yours, you represent that you have the owner's permission.

9. Electronic communications

You agree to receive communications from us electronically, and that electronic agreements, notices and disclosures satisfy any requirement that they be in writing.

10. Intellectual property

The Site and its text, design, graphics, data compilations and software belong to Janover Capital LLC or its licensors. Third-party data shown on the Site (for example Altus Group's survey figures) belongs to its publisher and is quoted with attribution; go to the publisher for the full data. Federal government data, such as the Treasury yield curve and SEC filings, is public. You may view the Site for your personal or internal business use, link to any page and quote short passages with a link back. "Janover" and "Janover Capital" may not be used without our written consent.

11. Prohibited conduct

You agree not to: (a) scrape or systematically extract content or data from the Site except as our robots.txt allows; (b) interfere with the Site or its infrastructure; (c) try to gain unauthorized access to any system or data; (d) submit false, misleading or fraudulent information; (e) use the Site to break any law or third-party right; (f) frame or mirror the Site in a misleading way; or (g) reverse engineer its software.

12. Third-party websites

The Site links to the sources it cites. Those sites have their own terms and policies. A link is not an endorsement, and we aren't responsible for third-party content. Lenders and investors named on the Site are listed from public sources; listing is not an endorsement and does not mean any of them works with Janover Capital or will consider your deal.

13. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, DATA, TOOLS AND SERVICES ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT ANY FINANCING WILL BE AVAILABLE OR ARRANGED, OR THAT ANY TERMS OR RETURNS WILL BE ACHIEVED.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) JANOVER CAPITAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, OPPORTUNITIES OR DATA, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, UNDER ANY THEORY, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). WHERE A JURISDICTION DOES NOT ALLOW THESE LIMITS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to defend, indemnify and hold harmless Janover Capital LLC and its affiliates, members, managers, officers, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from your use of the Site, your breach of these Terms or any law, information you submit, or your violation of any third-party right.

16. Arbitration, class waiver, jury waiver

Please read this section carefully. It affects your legal rights. Any dispute arising out of or relating to the Site or these Terms that can't be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator, seated in Palm Beach County, Florida. Judgment on the award may be entered in any court with jurisdiction. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for intellectual property misuse or unauthorized access.

Class action waiver. Disputes must be brought individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding.

Jury trial waiver. If any dispute proceeds in court, each party waives trial by jury.

Time limit. To the fullest extent the law allows, any claim must be started within one year after it arises, or it is barred.

17. Governing law and venue

These Terms are governed by the laws of the State of Florida and applicable federal law (including the Federal Arbitration Act for section 16), without regard to conflict-of-law rules. Subject to section 16, the exclusive venue for any court proceeding is the state or federal courts in Palm Beach County, Florida.

18. Changes and termination

We may change these Terms by posting a revised version with a new effective date; continuing to use the Site means you accept it. We may suspend or end access to the Site or any feature at any time.

19. General

These Terms and the Privacy policy are the entire agreement between you and Janover Capital about the Site. If a provision is unenforceable, it is modified to the minimum extent needed and the rest stays in force. Not enforcing a provision is not a waiver. You may not assign these Terms; we may. Sections 3, 7, 10 and 13 through 17 survive termination.
